Brand Ambassador Agreement

This Agreement (“Agreement”) is entered into by Gorilla Mind LLC (“Gorilla Mind”) and you (“Ambassador”) upon your acceptance into the Gorilla Mind® Brand Ambassador Program.

By applying and participating, you agree to the following terms:

1. Enrollment

You must submit a complete application. Gorilla Mind reviews all applications and may accept or reject any applicant at its sole discretion.

2. Term & Termination

  • This Agreement begins upon Gorilla Mind’s acceptance of your application.

  • Either party may terminate at any time: you with thirty (30) days written notice, Gorilla Mind immediately and without notice.

  • Upon termination, you must stop using Gorilla Mind resources, codes, and branding.

3. FTC Compliance & Disclosures

  • You must comply with FTC Endorsement Guidelines. Clear disclosures (e.g., #GorillaMind, #ad, #sponsored) must appear on all posts where Gorilla Mind products are promoted.

  • Only share genuine experiences and opinions.

  • Do not make false or unverifiable claims, especially medical claims.

4. Posting & Social Media Requirements

  • You must post at least four (4) times per month promoting Gorilla Mind products across your social media accounts.

  • Your primary social media profile(s) must remain public at all times while in the program.

  • Posts should tag @gorillamind and follow Gorilla Mind’s brand guidelines.

Failure to Meet Requirements: If you do not meet the posting requirement or make your account(s) private, Gorilla Mind may withhold commissions, suspend your ambassador status, or terminate this Agreement immediately.

5. Exclusivity & Conduct

  • While an Ambassador, you may not promote competing brands in supplements, nootropics, protein powders, energy drinks, etc.

  • Comparisons to competitors are allowed but direct endorsements of competitor products are not.

  • Content must remain professional, positive, and free from offensive, illegal, or harmful material.

6. Promotion Restrictions

  • Spamming (emails, forums, coupon code sites, etc.) is prohibited.

  • Ambassador codes may not be posted on coupon-sharing sites, Reddit, or unauthorized forums.

  • Paid advertising using Gorilla Mind trademarks or branding requires prior written approval.

7. Compensation

  • Ambassadors earn 10% commission on qualifying sales made with their unique link or code.

  • Commissions are not paid on personal orders placed with your own code.

  • Commissions are calculated and paid in store credit via your portal.

  • Gorilla Mind reserves the right to adjust commission structures or program benefits at any time.

8. Content Usage

By tagging Gorilla Mind or submitting content (“Ambassador Content”), you grant Gorilla Mind a non-exclusive, royalty-free, worldwide license to use that content across its marketing channels. This license survives termination.

9. Confidentiality

You may receive confidential information (e.g., launch details, pricing, sales data). This information must remain confidential and may not be shared, reproduced, or disclosed. Unauthorized disclosure is a material breach of this Agreement.

10. Non-Disparagement

You agree not to make negative or disparaging statements about Gorilla Mind, its employees, affiliates, or products during or after your participation in the program.

11. Independent Contractor Status

You are an independent contractor, not an employee of Gorilla Mind. You are responsible for your own taxes and compliance with applicable laws.

12. Governing Law

This Agreement shall be governed by the laws of the State of Idaho, and any disputes shall be resolved in its courts.

13. Entire Agreement

This Agreement represents the full understanding between Gorilla Mind and you as an Ambassador. It supersedes any prior agreements and may only be modified in writing by Gorilla Mind.

By enrolling and participating in the Gorilla Mind® Brand Ambassador Program, you confirm that you have read, understood, and agreed to these terms.
